Terms of Service

1. Acceptance of terms

By accessing or using the WAVE platform, APIs, SDKs, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service description

WAVE provides enterprise-grade live video streaming infrastructure, including real-time ingest, transcoding, distribution, analytics, AI-powered production tools, and developer APIs. The Service supports 8 streaming protocols (WebRTC, SRT, RTMP, NDI, WHIP, HLS, DASH, OMT) with sub-16ms glass-to-glass latency.

3. Account registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your API keys and account credentials. Notify WAVE immediately at [email protected] if you suspect unauthorized access.

4. Acceptable use policy

You agree not to use the Service to:

  • Stream, store, or distribute content that infringes intellectual property rights
  • Transmit malware, viruses, or other harmful code
  • Distribute content promoting violence, hate speech, or illegal activity
  • Attempt to gain unauthorized access to WAVE systems or other users' accounts
  • Circumvent rate limits, authentication mechanisms, or usage quotas
  • Use the Service for cryptocurrency mining or other resource-intensive non-streaming workloads
  • Resell or redistribute WAVE API access without a reseller agreement

WAVE reserves the right to suspend or terminate accounts that violate this policy without prior notice.

5. API usage terms

API access is subject to rate limits defined by your subscription tier. Rate limit headers (X-RateLimit-Limit, X-RateLimit-Remaining, X-RateLimit-Reset) are included in every API response. Exceeding rate limits returns HTTP 429 with a Retry-After header.

API keys are confidential. Do not embed API keys in client-side code, public repositories, or logs. WAVE provides environment-specific keys (test and production) to facilitate safe development.

6. Billing and payments

Paid plans are billed monthly or annually via Stripe. Usage-based charges (streaming minutes, API calls, storage, transcription) are metered in real-time and billed at the end of each billing cycle. Overages are charged at the rates specified in your subscription tier.

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are issued for partial billing periods.

7. Service availability

WAVE targets 99.9% uptime for all paid plans and 99.99% for Enterprise customers with SLA addendums. Scheduled maintenance windows are communicated 72 hours in advance via the status page. WAVE is not liable for downtime caused by force majeure events, third-party provider outages, or customer-side network issues.

8. Intellectual property

You retain all rights to content you stream through or store on the Service. WAVE retains all rights to the platform, APIs, SDKs, documentation, and underlying technology. The WAVE name, logo, and brand assets are trademarks of WAVE Inc.

9. Limitation of liability

To the maximum extent permitted by law, WAVE's total liability for any claim arising from or related to the Service is limited to the amount you paid WAVE in the 12 months preceding the claim. WAVE is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

10. Indemnification

You agree to indemnify and hold harmless WAVE, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

Either party may terminate this agreement with 30 days written notice. WAVE may terminate immediately for material breach, including violation of the Acceptable Use Policy. Upon termination, your API keys are revoked and streaming endpoints are deactivated. You may export your data within 30 days of termination.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, held in New York, New York.

13. Changes to terms

WAVE may update these Terms at any time. Material changes are communicated via email to the address on your account at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
